Scope of Agreement: The Seller agrees to provide to the eCommerce Platform with access to its products detailed description with multiple pictures for the purpose of uploading product description and pictures to be sold thru their eCommerce platform and fulfilling customer orders through a drop shipping arrangement. The eCommerce Platform agrees to list the Seller’s products on its website and marketplaces, and to facilitate the sale of such products to customers.

1. Registration as Drop Shipper: The seller shall register on the eCommerce Platform as Drop Shipper and fill required details and submit documents.
2. Refundable Security: The eCommerce platform shall get an interest free refundable security of Rs.1,000/- ( Rs. One thousand only) which shall be paid by seller in advance to keep the security against shipping charges and payment gateway charges levied in case of returns. The security amount can only be forfeited in case of any breach of trust along with cancellation as drop shipping seller. “The said security is waived off for a limited time.”
3. Product Listing and Descriptions: The Seller shall provide accurate and up-to-date product listings, including detailed descriptions, specifications, and images, to the eCommerce Platform. The eCommerce Platform shall have the right to modify product listings for marketing and optimization purposes. The seller shall check their products on the platform uploaded by eCommerce Platform service provider and shall check its description and pictures uploaded in accordance with the content and pictures provided.
4. Third Party Branded products: The seller should submit their authorization proof to sell any third party branded products and shall adhere to

Order Placement and Fulfilment: The eCommerce Platform shall be responsible for processing customer orders received through its platform.The Seller agrees to fulfil and ship customer orders promptly and within the specified handling time in good packaging to sustain during transit till delivery to buyer.
6. Pricing and Payment: The Seller shall provide the eCommerce Platform with wholesale prices for its products.The eCommerce Platform shall determine the retail prices for the products and shall be entitled to the margin between the wholesale and retail prices, Shipping Charges, GST and other levies, if any. The eCommerce Platform agrees to remit payment to the Seller within seven working days for each successfully fulfilled order.
7. Packaging & Shipment: The seller shall do the packaging to protect the items during shipment and shall inform the Ecommerce Platform, if the product is ready for shipment with all shipping details. The eCommerce Platform, on receiving the shipping details shall book the shipper to collect the consignment form seller to deliver the same to buyer. The seller quoted price shall include packaging and shipping charges shall be borne by eCommerce Platform.
8. Returns and Refunds: The Seller agrees to handle all returns in accordance with its policies, and the eCommerce Platform shall communicate such policies to customers. The eCommerce Platform shall refunds to customer due to product defects or other issues, and the Seller agrees to cooperate in such cases on his part to accept back such products and seller shall also bear two-way courier charges against returns and replacement, if eligible.
9. Payment: The seller shall get their payment after successful deliveries within in 7 working days to their registered bank accounts with eCommerce Platform.
10. Intellectual Property: The Seller represents and warrants that it has the right to sell the products and that the products do not infringe on any intellectual property rights of third parties. The eCommerce Platform shall not use the Seller’s intellectual property without prior written consent.
11. Term and Termination: This Agreement shall commence on the effective date and continue until terminated by either party with agreed-upon 15 days’ notice period. Either party may terminate this Agreement immediately for a material breach by the other party.
12. Confidentiality: Both parties agree to keep confidential any non-public information disclosed during the term of this Agreement.
13. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India and subject to Delhi Jurisdiction.
